1. About these terms
These terms govern access to and use of the Marwin platform (“Marwin”, the “Service”), operated from the United Kingdom. By accessing the Service you agree to them. Marwin is invite-only: accounts are provisioned directly for approved agency partners (“Partners”) and there is no public sign-up.
2. The Service
Marwin provides business tools for agency Partners, including an AI website builder, business-lead research (“Lead Finder”), client CRM, content generation, training and billing features. Features may be added, changed or withdrawn as the platform develops; parts of the Service are provided as early-access and marked accordingly.
3. Accounts
- You must keep your sign-in credentials confidential and are responsible for activity under your account.
- Accounts are personal to the Partner and may not be shared, resold or transferred without our agreement.
- We may suspend an account that we reasonably believe is compromised or being misused.
4. Acceptable use
You agree not to:
- use the Service for anything unlawful, deceptive or harmful;
- attempt to bypass rate limits, credit metering or tenant isolation, or to probe or disrupt the Service;
- scrape or bulk-export platform data other than through the export features provided;
- use lead data in breach of applicable law (see section 5).
5. Lead data and your responsibilities
Lead Finder compiles information about businesses and their decision-makers from public registers, public sources and licensed data providers, as described in our Privacy Policy.
- Once you export or otherwise use lead data, you are the data controller for that use and must comply with UK GDPR, PECR and any other applicable marketing law, including honouring opt-outs and contacting people only in their business capacity.
- Lead data is provided for your own business development, not for resale as data.
- Accuracy is not guaranteed: lead data is compiled from third-party sources and verified on a best-effort basis; you should apply your own judgement before relying on it.
6. Credits and billing
- Paid features consume credits. Credit prices, and what each action costs, are shown in the platform before you run it.
- Pay-per-result features charge only for delivered results, as described at the point of use.
- Payments are processed by Stripe. Subscription fees are billed in advance; consumed credits are non-refundable except where the law requires or we agree otherwise.
- We may change pricing with reasonable notice; changes do not affect credits already purchased.
7. Your clients
Contracts between you and your clients are yours alone. Marwin is not a party to them and is not responsible for the services you sell. Where you store client data in the platform, we process it on your behalf under the Privacy Policy.
8. Intellectual property
- The Service, its software and its branding remain ours or our licensors’.
- Content you or your clients supply remains yours. You grant us the licence needed to host and process it to provide the Service.
- Websites and content generated for you through the platform are yours to use for your business and your clients once any applicable charges are paid.
9. Availability and disclaimers
The Service is provided “as is”. We work to keep it available and accurate but do not guarantee uninterrupted operation, and third-party data sources and providers may change or fail outside our control. Nothing in these terms excludes liability that cannot lawfully be excluded.
10. Liability
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit or loss of data, and our total liability arising out of the Service in any 12-month period is limited to the amounts you paid us for the Service in that period.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for material breach of these terms (including section 4 and 5 obligations) or where required by law, and will act proportionately. On termination we delete or return Partner data in line with the Privacy Policy.
12. General
- We may update these terms; material changes are notified in-platform and the date above is revised.
- If any part of these terms is found unenforceable, the rest remains in force.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
